Article 1, Objet

Les presentes conditions generales de vente (ci-apres « CGV ») regissent l'acces et l'utilisation des services d'information financiere proposes par Trinity Insights (micro-entreprise de droit francais) sous forme d'abonnement mensuel. Elles s'appliquent a tout utilisateur (ci-apres « l'Utilisateur ») accedant au service via le site trinityinsights.io.

Article 2, Nature des services

Trinity Insights fournit des outils d'observation et d'analyse de donnees de marche accessibles publiquement. Les services comprennent :

• Des indicateurs composites et scores de marche
• Des graphiques on-chain bases sur des donnees de blockchain publiques
• Un copilot IA conversationnel (Trinity Ask)
• Un systeme d'alertes personnalisees
• Un acces API pour integration programmatique
• Un tableau de bord de monitoring en temps reel

Ces informations sont fournies a titre educatif et informatif uniquement. Elles ne constituent pas des recommandations d'investissement.

Article 3, Tarification et facturation

Les prix de reference sont affiches en euros TTC (TVA non applicable, art. 293 B du CGI, franchise en base de TVA pour micro-entreprise). Le paiement est effectue mensuellement (ou annuellement avec remise d'environ 17 %) via Paddle. Aucune duree minimale d'engagement n'est imposee, ni pour les abonnements mensuels, ni pour les abonnements annuels.L'abonnement est resiliable a tout moment depuis les parametres du compte ou le portail Paddle, sans frais ni penalite.

Les abonnements annuels font l'objet d'un paiement unique en amont pour douze (12) mois, ouvrant droit a un tarif preferentiel (environ 17 % de remise vs. le tarif mensuel sans engagement). En cas de resiliation avant le terme d'une periode annuelle deja payee, aucun remboursement prorata temporis n'est effectue; la couverture du service est neanmoins maintenue jusqu'a la fin de la periode payee, sans renouvellement automatique a l'echeance.

D'autres devises (USD, GBP, CAD, AUD, JPY, CHF) peuvent etre proposees automatiquement par Paddle Merchant of Record selon le pays de l'Utilisateur. En cas de divergence entre les devises affichees, le prix de reference euro fait foi.

La formule Founding est reservee aux 100premiers abonnes. Une fois ce quota atteint, elle n'est plus accessible aux nouveaux Utilisateurs.La souscription a la formule Founding s'effectue exclusivement en facturation annuelle, soit un paiement unique en amont de 228 EUR TTC par an (equivalent 19 EUR/mois). Aucune duree minimale d'engagement n'est imposee: l'Utilisateur peut resilier a tout moment depuis son espace client, sans frais ni penalite. Le tarif Founding est verrouille a vie pour les abonnes initiaux, dans la limite de la conservation continue de l'abonnement (sans interruption). En cas de resiliation, l'acces au tarif preferentiel Founding est definitivement perdu: toute reactivation ulterieure de l'abonnement s'effectuera au tarif Pro standard alors en vigueur.

Trinity Insights se reserve le droit de modifier ses tarifs. Toute modification sera communiquee par email au moins trente (30) jours avant son entree en vigueur.

Article 4, Essai gratuit

Tout nouvel utilisateur beneficie d'un essai gratuit de sept (7) jours donnant acces aux fonctionnalites de la formule Pro. A l'issue de l'essai, l'utilisateur bascule automatiquement sur la formule Free sauf souscription d'un abonnement payant. Aucun moyen de paiement n'est requis pour l'essai. L'essai est limite a une seule fois par utilisateur.

Article 5, Droit de retractation

Conformement a l'article L221-28, 13° du Code de la consommation, le droit de retractation de 14 jours ne s'applique pas a la fourniture de contenus numeriques non fournis sur un support materiel dont l'execution a commence avec l'accord prealable expres du consommateur et renoncement expres a son droit de retractation.

Lors du processus de paiement (checkout Paddle), l'Utilisateur coche une case confirmant qu'il accepte l'execution immediate du service et renonce expressement a son droit de retractation. L'acces aux fonctionnalites premium est active immediatement apres le paiement.

En consequence, aucun remboursement ne sera accorde au titre du droit de retractation. Les remboursements eventuels sont geres par Paddle (Merchant of Record) selon sa politique de remboursement et a la discretion de Trinity Insights.

Article 6, Information analytique, pas conseil d'investissement

Trinity Insights fournit des outils d'observation et d'analyse de donnees de marche. Les scores, indicateurs et analyses fournis :

• Ne constituent PAS un conseil en investissement au sens de la directive MiFID II et de l'article L. 541-1 du Code monetaire et financier
• Ne constituent PAS un service d'investissement au sens de l'article L. 321-1 du Code monetaire et financier (incluant la gestion de portefeuille pour compte de tiers, L. 321-1 4°)
• Ne constituent PAS un service sur actifs numeriques au sens de l'article L. 54-10-2 du Code monetaire et financier (PSAN/PSCA-MiCA Reglement (UE) 2023/1114)
• Ne constituent PAS une recommandation d'acheter, de vendre ou de detenir un actif
• Ne constituent PAS une sollicitation d'operation financiere
• Ne garantissent PAS un resultat futur

Trinity Insights n'est pas enregistre aupres de l'Autorite des Marches Financiers (AMF) en tant que Conseiller en Investissements Financiers (CIF), n'est pas Prestataire de Services sur Actifs Numeriques (PSAN/PSCA) et n'est pas soumis au reglement MiCA. Nous ne gerons aucun portefeuille pour compte de tiers, ne fournissons aucune recommandation personnalisee et n'avons acces a aucune donnee financiere personnelle des utilisateurs.

Article 7, Utilisation de l'intelligence artificielle (Trinity AI)

Le service inclut des fonctionnalites utilisant l'intelligence artificielle, notamment l'assistant conversationnel Trinity AI. Conformement au Reglement (UE) 2024/1689 (AI Act, art. 50), l'Utilisateur est informe des l'ouverture du panel qu'il interagit avec un systeme d'IA.

• Les reponses sont generees par les modeles Mistral Small et Ministral 3B operes par Mistral AI (France, hebergement souverain UE)
• Les reponses constituent des informations generales pedagogiques impersonnelles et ne sont ni un conseil en investissement (MiFID II 2014/65/UE) ni un conseil sur actifs numeriques (MiCA UE 2023/1114)
• Les reponses peuvent contenir des inexactitudes (hallucinations, chiffres approximatifs), verifiez systematiquement sur le chart source
• Les questions, l'identifiant utilisateur, le slug du chart et les metadonnees techniques sont conserves 5 ans a des fins de conformite et d'audit (obligation LCEN)
• Le fournisseur Mistral AI opere sous contrat zero-training (vos donnees ne sont pas utilisees pour entrainer le modele) et zero-retention cote provider (effacement automatique cote Mistral)
• Quotas journaliers par formule : Free 5 questions, Pro 50, Performance 200. Au-dela, une nouvelle plage de 24 h ouvre automatiquement
• Trinity Insights se reserve le droit de suspendre l'acces a Trinity AI en cas d'abus (tentatives de jailbreak, extraction de formules proprietaires, automatisation non autorisee)

Article 8, Conditions d'acces API

L'acces a l'API Trinity Insights est soumis aux conditions suivantes :

• Les cles API sont personnelles, non-transferables et hashees (SHA-256)
• Les limites de requetes (rate limits) dependent de la formule souscrite
• Les cles expirent apres 90 jours et doivent etre renouvelees
• La redistribution des donnees API a des tiers est interdite sans accord prealable
• Trinity Insights se reserve le droit de revoquer une cle en cas d'abus

L'utilisation de l'API est soumise aux memes limitations de responsabilite que l'interface web (Article 11).

Article 9, Niveau de service (SLA)

Trinity Insights s'engage a assurer une disponibilite du service de 99,5 % sur une base mensuelle, hors periodes de maintenance planifiee communiquees au moins 48 heures a l'avance.

En cas d'indisponibilite depassant ce seuil, l'Utilisateur peut demander un avoir prorata temporis sur le mois concerne. Cet avoir constitue le seul recours de l'Utilisateur au titre de l'indisponibilite du service.

Article 10, Garantie de conformite numerique

Conformement a la directive (UE) 2019/770 transposee en droit francais (articles L224-25-1 et suivants du Code de la consommation), le service numerique fourni doit etre conforme au contrat pendant toute la duree de l'abonnement.

En cas de defaut de conformite, l'Utilisateur peut exiger la mise en conformite du service dans un delai raisonnable. A defaut, il peut obtenir une reduction du prix proportionnelle ou la resolution du contrat.

Article 11, Limitation de responsabilite

Trinity Insights fournit le service « en l'etat ». Notre responsabilite est limitee au montant total des sommes versees par l'Utilisateur au cours des douze (12) derniers mois.

En aucun cas Trinity Insights ne pourra etre tenu responsable des pertes indirectes, manques a gagner, pertes de donnees, dommages de reputation ou prejudices consequents resultant de l'utilisation ou de l'impossibilite d'utilisation du service, y compris les decisions d'investissement prises sur la base de nos indicateurs.

Article 12, Suspension et resiliation

Trinity Insights se reserve le droit de suspendre ou resilier votre compte en cas de violation des presentes CGV, d'activite suspecte ou frauduleuse, ou de non-paiement apres un delai de quinze (15) jours suivant une relance.

Vous pouvez resilier votre abonnement a tout moment depuis votre espace client ou le portail de facturation Paddle. La resiliation prend effet a la fin de la periode de facturation en cours. Aucun remboursement prorata n'est effectue sauf dans les cas prevus a l'Article 9.

Article 13, Reconduction tacite et loi Chatel

Conformement a l'article L. 215-1 du Code de la consommation, l'Utilisateur est informe que son abonnement est a reconduction tacite mensuelle. Trinity Insights envoie un email de rappel a l'Utilisateur consommateur entre un (1) mois et trois (3) moisavant chaque date de reconduction tacite, indiquant la date de renouvellement et les modalites de resiliation. A defaut, l'Utilisateur peut mettre fin gratuitement au contrat a tout moment a compter de la date de reconduction.

Resiliation en ligne (L. 215-1-1 du Code de la consommation, en vigueur depuis le 1er juin 2023): l'Utilisateur peut resilier son abonnement a tout moment, en moins de trois (3) clics, depuis la fonctionnalite accessible dans son tableau de bord (parcours : Settings > Subscription > Cancel) ou depuis le portail de facturation Paddle, sans avoir besoin de contacter le support.

L'Utilisateur peut egalement contacter [email protected] pour toute question relative a la resiliation. La resiliation prend effet a la fin de la periode de facturation en cours (cf. Article 12).

Article 14, Propriete intellectuelle

L'ensemble des indicateurs, methodologies, algorithmes, scores composites et interfaces constituent la propriete intellectuelle exclusive de Trinity Insights.

L'abonnement confere une licence d'utilisation personnelle, non-exclusive et non-transferable. Toute reproduction, redistribution, revente ou ingenierie inverse des donnees et methodologies est strictement interdite.

Article 15, Modifications du service et des CGV

Trinity Insights se reserve le droit de modifier le service et les presentes CGV. Les modifications substantielles seront communiquees par email au moins trente (30) jours a l'avance.

La poursuite de l'utilisation du service apres notification vaut acceptation des modifications. L'Utilisateur qui refuse les nouvelles conditions peut resilier son abonnement sans frais avant l'entree en vigueur des modifications.

Article 16, Force majeure

Trinity Insights ne pourra etre tenu responsable de l'inexecution totale ou partielle de ses obligations si cette inexecution est due a un evenement de force majeure au sens de l'article 1218 du Code civil, y compris : catastrophe naturelle, pandemie, conflit arme, cyberattaque majeure, panne d'infrastructure tierce (hebergeur, DNS, CDN), decision gouvernementale ou judiciaire, ou interruption des reseaux de telecommunication.

Article 17, Sanctions internationales

L'Utilisateur declare ne pas etre soumis a des sanctions economiques ou commerciales imposees par l'Union europeenne, les Etats-Unis (OFAC), les Nations Unies ou tout autre organisme competent. Trinity Insights se reserve le droit de suspendre immediatement tout compte en cas de suspicion de violation de regimes de sanctions.

Article 18, Archivage et preuve

Conformement a l'article L213-1 du Code de la consommation, les enregistrements informatiques conserves dans les systemes de Trinity Insights et de ses prestataires (Paddle, Clerk) constituent la preuve des transactions effectuees. Les bons de commande et factures sont archives sur support numerique fiable et durable pendant une duree de dix (10) ans.

Article 19, Cession du contrat

L'Utilisateur ne peut ceder les droits et obligations resultant des presentes CGV sans l'accord prealable ecrit de Trinity Insights. Trinity Insights peut ceder librement le contrat a un tiers, sous reserve d'en informer l'Utilisateur.

Article 20, Notifications

Toute notification relative aux presentes CGV sera effectuee par email a l'adresse fournie lors de l'inscription (via Clerk) ou a l'adresse [email protected] pour les notifications a destination de Trinity Insights. Les notifications par email sont reputees recues 24 heures apres leur envoi.

Article 21, Donnees personnelles

Le traitement des donnees personnelles est regi par notre Politique de confidentialite, qui fait partie integrante des presentes CGV. L'Utilisateur est invite a en prendre connaissance avant toute utilisation du service.

Article 22, Mediation et reglement des litiges

Conformement aux articles L611-1 et suivants du Code de la consommation, l'Utilisateur a le droit de recourir gratuitement a un mediateur de la consommation en cas de litige non resolu apres reclamation prealable aupres de Trinity Insights.

Article 23, Divisibilite

Si l'une quelconque des stipulations des presentes CGV est declaree nulle ou inapplicable par une juridiction competente, les autres stipulations conservent leur pleine force et portee.

Article 24, Renonciation

Le fait pour Trinity Insights de ne pas exercer un droit prevu par les presentes CGV ne constitue pas une renonciation a l'exercer ulterieurement. Aucune renonciation ne sera effective sans confirmation ecrite.

Article 25, Integralite

Les presentes CGV, la Politique de confidentialite et les Mentions legales constituent l'integralite de l'accord entre l'Utilisateur et Trinity Insights concernant l'utilisation du service, et remplacent tout accord anterieur relatif au meme objet.

Article 26, Langue du contrat

Les presentes CGV sont redigees en francais. En cas de traduction dans une autre langue, seule la version francaise fait foi.

Article 27, Loi applicable et juridiction

Les presentes CGV sont regies par le droit francais. Tout litige sera soumis aux tribunaux competents du ressort du siege de Trinity Insights, sous reserve des dispositions imperatives du Code de la consommation en faveur du consommateur, notamment le droit de saisir le tribunal de son domicile (article R631-3 du Code de la consommation).

Sans prejudice des dispositions imperatives du droit du consommateur applicable au consommateur dans son pays de residence habituelle au sein de l'Union europeenne, conformement au Reglement (UE) n° 1215/2012 (Bruxelles I bis, article 17) et au Reglement (CE) n° 593/2008 (Rome I, article 6), le consommateur peut toujours saisir les juridictions de son Etat membre de residence et invoquer les dispositions imperatives du droit national de cet Etat.

Article 28, Indemnisation par l'Utilisateur

Pour les Utilisateurs professionnels (B2B): l'Utilisateur professionnel s'engage a indemniser, defendre et tenir Trinity Insights et ses prestataires de service a l'ecart de toute reclamation, action, dommage, perte ou frais (y compris frais d'avocat raisonnables) emanant d'un tiers et resultant de :

• Sa violation des presentes CGV ;
• Son utilisation des Services en violation de toute loi, reglementation ou droit d'un tiers ;
• La republication, redistribution, revente ou diffusion non autorisee des donnees, indicateurs ou contenus Trinity Insights a un tiers ;
• Toute declaration publique fausse, trompeuse ou attribuant a Trinity Insights un conseil financier individualise ;
• Toute action en responsabilite intentee par un tiers fondee sur des decisions d'investissement prises par l'Utilisateur a partir de contenus Trinity Insights.

Trinity Insights pourra, a sa seule discretion, assumer la defense exclusive et le controle de toute reclamation faisant l'objet d'une indemnisation par l'Utilisateur professionnel, lequel cooperera avec Trinity Insights dans la defense de cette reclamation.

Pour les Utilisateurs consommateurs (B2C): conformement aux dispositions imperatives du Code de la consommation (notamment article L212-1) et de l'article 1171 du Code civil, Trinity Insights ne pourra demander reparation qu'en cas de faute prouvee de l'Utilisateur consommateur, prejudice direct, certain et personnel, et lien de causalite etabli, sans limitation des droits imperatifs reconnus au consommateur. Aucune obligation de defendre Trinity Insights ni de prendre en charge les frais d'avocat n'est mise a la charge du consommateur.

Article 29, Droit de refus et de resiliation pour motif legitime

Conformement a l'article L121-11 du Code de la consommation, Trinity Insights ne peut refuser, suspendre ou resilier l'acces aux Services d'un Utilisateur consommateur que pour un motif legitime, notamment :

• Fraude ou tentative de fraude (paiement frauduleux, identite usurpee, manipulation de donnees) ;
• Violation substantielle des presentes CGV ;
• Atteinte a la securite du Service (intrusion, exploitation de vulnerabilite, denial-of-service) ;
• Non-paiement persistant apres mise en demeure ;
• Inscription sur une liste de sanctions internationales (OFAC, EU CFSP, OFSI, ONU) ;
• Abus technique (scraping massif, contournement des limitations API, multi-comptes) ;
• Redistribution non autorisee des donnees ou indicateurs Trinity Insights a des tiers ;
• Risque juridique ou reglementaire documente.

Sauf urgence (fraude active, atteinte a la securite, demande judiciaire), Trinity Insights notifie au consommateur le motif de la mesure et lui laisse un delai raisonnable pour remedier au manquement avant resiliation definitive.

En cas de resiliation, l'Utilisateur beneficie d'un remboursement prorata temporis du mois en cours, sans prejudice des autres droits imperatifs reconnus au consommateur par le droit applicable.

Article 30, Clause penale anti-abus (Utilisateurs professionnels)

Pour les Utilisateurs professionnels (B2B) uniquement: toute violation des regles d'utilisation acceptable, incluant sans limitation : creation de comptes multiples pour contourner les limites, scraping ou extraction automatisee non autorisee, redistribution des donnees a des tiers, contournement des limitations API (rate limits), partage de credentials avec des tiers, retro-ingenierie des methodologies, entraine de plein droit le paiement d'une indemnite forfaitaire de cinq mille euros (5 000 EUR) par infraction substantielle constatee, plafonnee a un maximum de cinquante mille euros (50 000 EUR) par Utilisateur professionnel et par exercice annuel.

Une « infraction substantielle » s'entend de tout acte distinct, independant et significatif, etabli par preuve technique horodatee. Les actes simultanes ou en chaine resultant d'un meme manquement sont consideres comme une infraction unique.

Conformement a l'article 1231-5 du Code civil, cette clause penale peut etre moderee par le juge si elle est manifestement excessive ou derisoire au regard du prejudice reel subi (Cass. com., 11 dec. 2024, n°23-15.744). Le montant de la clause penale s'impute sur les dommages-interets eventuellement reclames pour le meme fait, sauf preuve d'un prejudice distinct.

Pour les Utilisateurs consommateurs (B2C): cette clause penale forfaitaire ne s'applique pas. Trinity Insights ne pourra demander reparation au consommateur qu'en cas de faute prouvee, prejudice direct certain et personnel, et lien de causalite, dans les limites des droits imperatifs reconnus au consommateur.

Article 31, Obligations survivant a la resiliation

Survivent a la resiliation, l'expiration ou l'annulation des presentes CGV, quelle qu'en soit la cause, les obligations qui par leur nature ont vocation a survivre, dans les limites des dispositions imperatives du droit applicable, incluant notamment :

• Les obligations de confidentialite ;
• Les droits de propriete intellectuelle (Article 14) ;
• L'indemnisation par l'Utilisateur (Article 28), dans les limites du droit applicable ;
• La limitation de responsabilite (Article 11) ;
• La clause penale anti-abus (Article 30) pour les Utilisateurs professionnels ;
• Les clauses de loi applicable, juridiction et mediation (Articles 22 et 27) ;
• L'obligation de conservation des journaux de connexion pour une duree de douze (12) mois (LCEN Art. 6 II, Decret 2011-219) ;
• L'obligation comptable de conservation des factures pendant dix (10) ans (Art. L123-22 du Code de commerce).

Aucune clause des presentes CGV ne saurait etre interpretee comme limitant les droits imperatifs reconnus au consommateur par le Code de la consommation, le Code civil ou tout autre texte d'ordre public.

Article 1, Purpose

These terms of service (hereinafter “ToS”) govern the access to and use of the financial information services offered by Trinity Insights (micro-entreprise , a French sole proprietorship under simplified tax regime) on a monthly subscription basis. They apply to any user (hereinafter “the User”) accessing the service via the website trinityinsights.io.

Article 2, Nature of services

Trinity Insights provides tools for observing and analyzing publicly available market data. The services include:

• Composite indicators and market scores
• On-chain charts based on public blockchain data
• An AI conversational copilot (Trinity Ask)
• A personalized alert system
• API access for programmatic integration
• A real-time monitoring dashboard

Article 3, Pricing and billing

Reference prices are displayed in euros, inclusive of all taxes (TVA non applicable, art. 293 B du CGI, VAT exemption under the French franchise en base de TVA regime for micro-entreprises). Payment is processed monthly (or annually with approximately 17 % discount) via Paddle. No minimum commitment duration is imposed, neither for monthly nor for annual subscriptions. The subscription may be cancelled at any time from the account settings or the Paddle billing portal, with no fees or penalty.

Annual subscriptions are paid in a single upfront payment for twelve (12) months, in exchange for a preferential rate (approximately 17 % discount vs. the standard monthly rate without commitment). In case of cancellation before the end of an annual period already paid, no prorata refund is granted ; however, service access is maintained until the end of the paid period, with no automatic renewal at the end of that period.

Other currencies (USD, GBP, CAD, AUD, JPY, CHF) may be displayed automatically by Paddle Merchant of Record depending on the User's country. In case of divergence between displayed currencies, the euro reference price prevails.

The Founding plan is reserved for the first 100 subscribers. Once that quota is reached, it is no longer accessible to new Users. Subscription to the Founding plan is exclusively available with annual billing, i.e. a single upfront payment of EUR 228 (incl. all taxes) per year (equivalent to EUR 19/month). No minimum commitment duration is imposed : the User may cancel at any time from their account dashboard, with no fees or penalty. The Founding rate is locked for life for initial subscribers, subject to continuous subscription (without interruption). In case of cancellation, access to the preferential Founding rate is permanently lost : any future reactivation of the subscription will be at the standard Pro rate then in effect.

Trinity Insights reserves the right to modify its pricing. Any modification shall be communicated by email at least thirty (30) days before it takes effect.

Article 4, Free trial

Every new user benefits from a free trial of seven (7) days granting access to the features of the Pro plan. At the end of the trial, the user is automatically switched to the Free plan unless a paid subscription is activated. No payment method is required for the trial. The trial is limited to one per user.

Article 5, Right of withdrawal

In accordance with Article L221-28, 13° of the French Code de la consommation (Consumer Code), the 14-day right of withdrawal does not apply to the supply of digital content not provided on a tangible medium, the performance of which has begun with the prior express consent of the consumer and their express waiver of the right of withdrawal.

During the payment process (Paddle checkout), the User checks a box confirming that they accept the immediate performance of the service and expressly waive their right of withdrawal. Access to premium features is activated immediately after payment.

Consequently, no refund shall be granted under the right of withdrawal. Any refunds are managed by Paddle (Merchant of Record) in accordance with its refund policy and at the discretion of Trinity Insights.

Article 6, Analytical information, not investment advice

Trinity Insights provides tools for observing and analyzing market data. The scores, indicators, and analyses provided:

• Do NOT constitute investment advice within the meaning of MiFID II and Article L. 541-1 of the French Monetary and Financial Code
• Do NOT constitute an investment service within the meaning of Article L. 321-1 of the French Monetary and Financial Code (including third-party portfolio management, L. 321-1 4°)
• Do NOT constitute a crypto-asset service within the meaning of Article L. 54-10-2 of the French Monetary and Financial Code (PSAN/PSCA under MiCA Regulation (EU) 2023/1114)
• Do NOT constitute a recommendation to buy, sell, or hold any asset

We do not manage any third-party portfolio, do not provide any personalized recommendation, and do not have access to any personal financial data of users.

Article 7, Use of artificial intelligence (Trinity AI)

The service includes features using artificial intelligence, in particular the conversational assistant Trinity AI. In accordance with Regulation (EU) 2024/1689 (AI Act, Art. 50), the User is informed from the moment the panel opens that they are interacting with an AI system.

• Responses are generated by the Mistral Small and Ministral 3B models operated by Mistral AI (France, sovereign EU hosting)
• Responses constitute general educational information, disseminated impersonally, and are neither investment advice (MiFID II Directive 2014/65/EU) nor crypto-asset advice (MiCA Regulation (EU) 2023/1114)
• Responses may contain inaccuracies (hallucinations, approximate figures), always verify against the source chart
• Questions, user identifier, chart slug and technical metadata are retained for 5 years for compliance and audit purposes (LCEN requirement)
• Mistral AI operates under a zero-training contract (your data is not used to train the model) and zero-retention on the provider side (automatic deletion at Mistral)
• Daily quotas per plan: Free 5 questions, Pro 50, Performance 200. Beyond this, a new 24-hour window opens automatically
• Trinity Insights reserves the right to suspend access to Trinity AI in case of abuse (jailbreak attempts, extraction of proprietary formulas, unauthorized automation)

Article 8, API access conditions

Access to the Trinity Insights API is subject to the following conditions:

• API keys are personal, non-transferable, and hashed (SHA-256)
• Request limits (rate limits) depend on the subscribed plan
• Keys expire after 90 days and must be renewed
• Redistribution of API data to third parties is prohibited without prior agreement
• Trinity Insights reserves the right to revoke a key in case of misuse

Use of the API is subject to the same limitations of liability as the web interface (Article 11).

Article 9, Service level agreement (SLA)

Trinity Insights commits to ensuring a service availability of 99.5% on a monthly basis, excluding scheduled maintenance periods communicated at least 48 hours in advance.

In the event of downtime exceeding this threshold, the User may request a pro rata temporis credit for the affected month. This credit constitutes the User's sole remedy for service unavailability.

Article 10, Digital conformity guarantee

In accordance with Directive (EU) 2019/770, transposed into French law (Articles L224-25-1 et seq. of the Code de la consommation), the digital service provided must conform to the contract for the entire duration of the subscription.

In the event of a lack of conformity, the User may require the service to be brought into conformity within a reasonable period. Failing that, the User may obtain a proportional price reduction or termination of the contract.

Article 11, Limitation of liability

Trinity Insights provides the service “as is.” Our liability is limited to the total amount paid by the User during the twelve (12) preceding months.

In no event shall Trinity Insights be held liable for indirect losses, lost profits, data loss, reputational damage, or consequential damages arising from the use or inability to use the service, including investment decisions made on the basis of our indicators.

Article 12, Suspension and termination

Trinity Insights reserves the right to suspend or terminate your account in the event of a breach of these ToS, suspicious or fraudulent activity, or non-payment after a period of fifteen (15) days following a reminder.

You may cancel your subscription at any time from your account dashboard or the Paddle billing portal. Cancellation takes effect at the end of the current billing period. No pro rata refund is provided except as set out in Article 9.

Article 13, Automatic renewal and loi Chatel

In accordance with Article L. 215-1 of the French Consumer Code (implementing the loi Chatel, a French consumer protection law requiring advance notice before automatic subscription renewal), the User is informed that their subscription is subject to tacit monthly renewal. Trinity Insights sends a reminder email to the consumer User between one (1) and three (3) months before each tacit renewal date, indicating the renewal date and the cancellation procedure. Failing such notification, the User may terminate the contract free of charge at any time from the renewal date.

Online termination (Article L. 215-1-1 of the French Consumer Code, in force since June 1, 2023): the User may cancel their subscription at any time, in fewer than three (3) clicks, via the feature accessible from their dashboard (path: Settings > Subscription > Cancel) or from the Paddle billing portal, without needing to contact support.

The User may also contact [email protected] for any questions related to cancellation. Cancellation takes effect at the end of the current billing period (see Article 12).

Article 14, Intellectual property

All indicators, methodologies, algorithms, composite scores, and interfaces constitute the exclusive intellectual property of Trinity Insights.

The subscription grants a personal, non-exclusive, and non-transferable license of use. Any reproduction, redistribution, resale, or reverse engineering of the data and methodologies is strictly prohibited.

Article 15, Modifications to the service and ToS

Trinity Insights reserves the right to modify the service and these ToS. Substantial modifications will be communicated by email at least thirty (30) days in advance.

Continued use of the service after notification constitutes acceptance of the modifications. A User who does not accept the new terms may cancel their subscription at no cost before the modifications take effect.

Article 16, Force majeure

Trinity Insights shall not be held liable for the total or partial non-performance of its obligations if such non-performance is due to a force majeure event within the meaning of Article 1218 of the French Code civil, including but not limited to: natural disasters, pandemics, armed conflicts, major cyberattacks, third-party infrastructure failures (hosting provider, DNS, CDN), governmental or judicial decisions, or interruption of telecommunications networks.

Article 17, International sanctions

The User represents that they are not subject to economic or trade sanctions imposed by the European Union, the United States (OFAC), the United Nations, or any other competent authority. Trinity Insights reserves the right to immediately suspend any account in the event of a suspected sanctions violation.

Article 18, Record-keeping and evidence

In accordance with Article L213-1 of the Code de la consommation, electronic records maintained in the systems of Trinity Insights and its service providers (Paddle, Clerk) constitute proof of the transactions carried out. Purchase orders and invoices are archived on a reliable and durable digital medium for a period of ten (10) years.

Article 19, Assignment of contract

The User may not assign the rights and obligations arising from these ToS without the prior written consent of Trinity Insights. Trinity Insights may freely assign the contract to a third party, provided the User is duly informed.

Article 20, Notifications

Any notification relating to these ToS shall be made by email to the address provided upon registration (via Clerk), or to [email protected] for notifications addressed to Trinity Insights. Email notifications are deemed received 24 hours after sending.

Article 21, Personal data

The processing of personal data is governed by our Privacy Policy, which forms an integral part of these ToS. The User is invited to review it before using the service.

Article 22, Mediation and dispute resolution

In accordance with Articles L611-1 et seq. of the Code de la consommation, the User has the right to have recourse, free of charge, to a consumer mediator in the event of a dispute not resolved after a prior complaint to Trinity Insights.

Article 23, Severability

If any provision of these ToS is declared void or unenforceable by a competent court, the remaining provisions shall retain their full force and effect.

Article 24, Waiver

The failure of Trinity Insights to exercise a right provided for in these ToS shall not constitute a waiver of the right to exercise it at a later date. No waiver shall be effective without written confirmation.

Article 25, Entire agreement

These ToS, the Privacy Policy, and the Legal Notice constitute the entire agreement between the User and Trinity Insights regarding the use of the service, and supersede any prior agreement relating to the same subject matter.

Article 26, Contract language

These ToS are drafted in French. In the event of a translation into another language, only the French version shall prevail. In case of any discrepancy between the French and English versions, the French version shall govern.

Article 27, Governing law and jurisdiction

These ToS are governed by French law. Any dispute shall be submitted to the competent courts within the jurisdiction of the registered office of Trinity Insights, subject to the mandatory provisions of the French Consumer Code in favor of the consumer, in particular the right to bring proceedings before the court of their domicile (Article R631-3 of the Code de la consommation).

Without prejudice to the mandatory provisions of consumer law applicable to the consumer in their country of habitual residence within the European Union, in accordance with Regulation (EU) No 1215/2012 (Brussels I recast, Article 17) and Regulation (EC) No 593/2008 (Rome I, Article 6), the consumer may always bring proceedings before the courts of their Member State of residence and invoke the mandatory provisions of the national law of that Member State.

Article 28, User indemnification

For business Users (B2B): the business User agrees to indemnify, defend, and hold Trinity Insights and its service providers harmless from and against any third-party claim, action, damage, loss, or expense (including reasonable attorneys' fees) arising out of:

• The User's breach of these ToS;
• The User's use of the Services in violation of any law, regulation, or third-party right;
• Unauthorized republication, redistribution, resale, or dissemination of Trinity Insights data, indicators, or content to a third party;
• Any false or misleading public statement, or any statement attributing to Trinity Insights an individualized financial recommendation;
• Any liability claim brought by a third party based on investment decisions made by the User using Trinity Insights content.

Trinity Insights may, at its sole discretion, assume the exclusive defense and control of any claim subject to indemnification by the business User, who shall cooperate with Trinity Insights in the defense of such claim.

For consumer Users (B2C): in accordance with the mandatory provisions of the French Consumer Code (in particular Article L212-1) and Article 1171 of the French Civil Code, Trinity Insights may seek compensation only in cases of proven fault by the consumer User, direct, certain, and personal damage, and an established causal link, without limitation of the mandatory rights recognized to consumers. No obligation to defend Trinity Insights or to bear attorneys' fees is imposed on the consumer.

Article 29, Right to refuse and termination for legitimate cause

In accordance with Article L121-11 of the French Consumer Code, Trinity Insights may refuse, suspend, or terminate access to the Services for a consumer User only for a legitimate reason, including:

• Fraud or attempted fraud (fraudulent payment, identity theft, data manipulation);
• Substantial breach of these ToS;
• Service security breach (intrusion, vulnerability exploitation, denial-of-service);
• Persistent non-payment after formal notice;
• Inclusion on an international sanctions list (OFAC, EU CFSP, OFSI, UN);
• Technical abuse (massive scraping, API rate limit circumvention, multi-account schemes);
• Unauthorized redistribution of Trinity Insights data or indicators to third parties;
• Documented legal or regulatory risk.

Except in cases of urgency (active fraud, security breach, judicial demand), Trinity Insights notifies the consumer of the reason for the action and grants a reasonable period to remedy the breach before final termination.

In the event of termination, the User benefits from a pro rata temporis refund of the current month, without prejudice to other mandatory rights recognized to consumers under applicable law.

Article 30, Anti-abuse penalty clause (Business Users)

For business Users (B2B) only: any violation of the acceptable use rules, including without limitation: creation of multiple accounts to circumvent limits, unauthorized automated scraping or extraction, redistribution of data to third parties, circumvention of API rate limits, sharing credentials with third parties, reverse-engineering of methodologies, shall trigger by operation of law the payment of a flat indemnity of five thousand euros (EUR 5,000) per established substantial infringement, capped at a maximum of fifty thousand euros (EUR 50,000) per business User and per annual fiscal year.

A “substantial infringement” means any distinct, independent, and significant act, established by time-stamped technical evidence. Simultaneous or chained acts resulting from the same breach are considered a single infringement.

In accordance with Article 1231-5 of the French Civil Code, this penalty clause may be reduced by a court if it is manifestly excessive or derisory in light of the actual loss suffered (Cass. com., Dec. 11, 2024, no. 23-15.744). The amount of the penalty clause is set off against any damages claimed for the same fact, unless a distinct loss is proven.

For consumer Users (B2C): this flat penalty clause does not apply. Trinity Insights may seek compensation from the consumer only on proof of fault, direct, certain, and personal damage, and a causal link, within the limits of the mandatory rights recognized to consumers.

Article 31, Obligations surviving termination

Survive the termination, expiration, or cancellation of these ToS, regardless of cause, the obligations which by their nature are intended to survive, within the limits of the mandatory provisions of applicable law, including:

• Confidentiality obligations;
• Intellectual property rights (Article 14);
• User indemnification (Article 28), within the limits of applicable law;
• Limitation of liability (Article 11);
• Anti-abuse penalty clause (Article 30) for business Users;
• Governing law, jurisdiction, and mediation clauses (Articles 22 and 27);
• Connection logs retention obligation for twelve (12) months (French LCEN Art. 6 II, Decree 2011-219);
• Accounting obligation to retain invoices for ten (10) years (French Commercial Code Art. L123-22).

No clause of these ToS shall be construed as limiting the mandatory rights recognized to consumers under the French Consumer Code, the French Civil Code, or any other public-order legislation.
